    From the filings

    Before

We may decide not to extend the term we have to consummate our initial business combination, in which case we would redeem our public shares, and the warrants may be worthless. Drops "Members of our management team and our independent directors will directly or indirectly…".

    From the filings

    Before

Members of our management team and our independent directors will directly or indirectly own founder shares and/or private placement warrants following this offering and, accordingly, may have a conflict of interest in determining whether a particular target business is an appropriate business with which to effectuate our initial business combination. The low price that our sponsor, executive officers and directors (directly or indirectly) paid for the founder shares creates an incentive whereby our officers and directors could potentially make a substantial profit even if we select an acquisition target that subsequently declines in value and is unprofitable for public shareholders. If we are unable to complete our initial business combination within 24 months from the closing of this offering, or by such earlier liquidation date as our board of directors may approve, the founder shares and private placement warrants may expire worthless, except to the extent they receive liquidating distributions from assets outside the trust account, which could create an incentive for our sponsor, executive officers and directors to complete a transaction even if we select an acquisition target that subsequently declines in value and is unprofitable for public shareholders. Further, each of our officers and directors may have a conflict of interest with respect to evaluating a particular business combination if the retention or resignation of any such officers and directors was included by a target business as a condition to any agreement with respect to our initial business combination.

The non -managing sponsor investors have expressed to us an interest in purchasing up to an aggregate of approximately $285,750,000 million of the units in this offering at the offering price (assuming the exercise in full of the underwriter's over -allotment option). None of the non -managing sponsor investors has expressed to us an interest in purchasing more than 9.9% of the units to be sold in this offering. There can be no assurance that the non -managing sponsor investors will acquire any units, either directly or indirectly, in this offering, or as to the amount of the units the non -managing sponsor investors will retain, if any, prior to or upon the consummation of our initial business combination. Because these expressions of interest are not binding agreements or commitments to purchase, non -managing sponsor investors may determine to purchase a different number or no units in this offering. In addition, the underwriter has full discretion to allocate the units to investors and may determine to sell a different number or no units to the non -managing sponsor investors. The underwriter will receive the same upfront discounts and commissions and deferred underwriting commissions on units purchased by the non -managing sponsor investors, if any, as it will on the other units sold to the public in this offering. In addition, none of the non -managing sponsor investors has any obligation to vote any of their public shares in favor of our initial business combination. For a discussion of certain additional arrangements with the non -managing sponsor investors, see "Summary — The Offering — Expressions of Interest." In the event that the non -managing sponsor investors purchase such units (either in this offering or after) and vote them in favor of our initial business combination, no affirmative votes from other public shareholders would be required to approve our initial business combination. However, because the non -managing investors are not obligated to continue owning any public shares following the closing and are not obligated to vote any public shares in favor of our initial business combination, we cannot assure you that any of these non -managing sponsor investors will be public shareholders at the time our shareholders vote on our initial business combination, and, if they are public shareholders, we cannot assure you as to how such non -managing sponsor investors will vote on any business combination.

Our sponsor currently owns an aggregate of 7,187,500 Class B ordinary shares, up to 937,500 of which will be surrendered to us for no consideration after the closing of this offering depending on the extent to which the underwriters' over -allotment option is exercised, which will automatically convert into Class A ordinary shares concurrently in connection with or immediately following the consummation of our initial business combination, or earlier at the option of the holders thereof on a one -for -one basis, subject to the adjustments described herein. Prior to and/or in connection with the closing of our initial business combination, only holders of our Class B ordinary shares will be entitled to vote on the appointment and removal of directors or continuing the company in a jurisdiction outside the Cayman Islands (including any special resolution required to amend the constitutional documents of the company or to adopt new constitutional documents of the company, in each case, as a result of the company approving a transfer by way of continuation in a jurisdiction outside the Cayman Islands). On any other matters submitted to a vote of our shareholders prior to or in connection with the completion of our initial business combination, holders of the Class B ordinary shares and holders of the Class A ordinary shares will vote together as a single class, except as required by law.

Our experience and the broad rationale for our interest with respect to each of these sectors for investment focus is as follows:

Over centuries, the United States and the world have experienced significant transitions in energy production. In the late -19 th century, the primary source of energy transitioned from wood to coal. Similarly, the world experienced a transition from coal to oil and electrification in the first half of the 20 th century. Each of these transitions has created challenges and opportunities for those involved in the energy markets and have created unique investment opportunities for forward -looking investors.

As the United States and the world transition from reliance upon fossil fuels to renewables for energy generation, the traditional rules for valuation of natural resources and companies in the energy sector are changing — which is creating a unique opportunity for the current generation of investors to benefit from this transition.

Government policies throughout the world have driven increased interest in renewable energy and have driven capital into that sector. This capital has, in turn, provided the purchasing power needed to drive down the costs of renewable energy infrastructure, making renewables cost -competitive with fossil fuels in many cases. As a result, the growth of renewables as a leading source of power in the United States is no longer driven by tax incentives or government mandates, but by fundamental economics.

Renewable energy is expected to see strong growth through at least 2050, but this does not mean that fossil fuels are disappearing anytime soon. Indeed, fossil fuels remain widely in demand throughout the world, with the U.S. Energy Information Administration reporting that petroleum, natural gas and coal constituted nearly 80% of the energy consumption in the United States for 2022.

Although the U.S. Energy Information Administration's Annual Energy Outlook 2023 reports that energy production from renewables (including, among others, hydroelectric, biomass, solar and wind) is expected to double by 2050 under most of its modeling scenarios, the U.S. Energy Information Administration also projects that production of petroleum and liquefied natural gas will increase through at least 2050 under most scenarios and that the United States will remain a net exporter of petroleum products throughout that period.

Despite the long -term trend towards renewables, a variety of events can create significant swings in energy markets and history suggests that the growth of renewables will not be a straight path. Economic crises, pandemics, wars and other factors all can have significant short and medium term effects on energy prices and on investment in energy production. Other factors can have a longer term effect on energy prices and production investment, including the enhanced importance of energy independence as a national security interest, intra -national debates on the existence of global climate change and the need for rapid energy transition, and a growing divide between advanced and developing countries on the priorities relating to the transition.

Our combined team believes that these factors should create unique opportunities for enhanced returns in the energy sector and that the relationships and experience of our combined team will afford us the ability to identify such opportunities, negotiate a favorable business combination and support management in accelerating growth.

Sustainability Component

As an adjunct to our investment thesis, we believe that a focus on companies with a strong commitment to sustainability or the opportunity to expand such commitment are likely to experience significant multiple expansion over the near term, creating the opportunity for a significantly enhanced investment return.

In recent years, sustainability has increasingly become a factor in investment decisions for companies and consumers. Consumers are demanding products that are sourced and manufactured in a sustainable manner and businesses are investing heavily in creating and promoting their sustainability efforts. To capture this investment growth, companies are developing products with clear sustainability objectives, embracing a sustainability -driven culture across their organizations, and expanding their abilities to incorporate sustainability into investment decision processes. Similarly, the percentage of investors that apply sustainability considerations to their portfolios has increased dramatically in recent years.

We view sustainability as a key accelerant of investment performance and we expect that the allocation of more investment funds to businesses which can demonstrate clear sustainability initiatives will accelerate this trend and lead to multiple expansion for companies with a strong sustainability commitment. This means that a company with clear sustainability initiatives should see enhanced valuations when compared with competitors that lack such initiatives — and that such disparity should increase in the coming years. Accordingly, by focusing our investment efforts on companies with sustainability components or opportunities, we expect that we can drive enhanced returns for our investors.

We will focus primarily on identifying attractive acquisition candidates with strong business fundamentals which operate in the energy sector (or related products and services) which that can benefit from our human and financial capital. We also anticipate that these target companies will may have a strong sustainability component or opportunity, which will help drive incremental future growth and multiple expansion as investors and customers are demonstrating an increasing focus on sustainability as a key requirement for investment or purchases. However, Our search for business combination targets may extend across the wider range of industry sectors and geographies in which we believe that we can create shareholder value. We believe that our investment and operating expertise across multiple industry verticals and across companies in all stages of their corporate evolution will give us a large, addressable universe of potential targets in order to enable us to maximize our chances of completing a business combination in a timely manner and to maximize shareholder returns following such acquisition.

We have elected to focus will not limit our search for an initial efforts to identify a prospective business combination target on businesses based in North America which are in the energy sector to any particular business industry or related products sector or services). to any geographic region. We believe that businesses which are fundamentally strong, but which have an acute need for additional capital and management support offer a disproportionate opportunity for investment return. However, we also believe that the ongoing rapid evolution in the energy sector offers may offer a rare opportunity to invest in strong companies at a relatively early stage of the their expected growth. We anticipate that this should drive a disproportionate increase in shareholder value and, offers in light of our team's experience in the energy sector, may offer us a significant opportunity to apply our human and financial capital to our initial acquisition target in order to capture this disproportionate increase in value for our shareholders.

In the event that the non -managing sponsor investors purchase such units (either in this offering or after) and vote them in favor of our initial business combination, no affirmative votes from other public shareholders would be required to approve our initial business combination. However, because the non -managing sponsor investors are not obligated to continue owning any public shares following the closing and are not obligated to vote any public shares in favor of our initial business combination, we cannot assure you that any of these non -managing sponsor investors will be public shareholders at the time our shareholders vote on our initial business combination, and, if they are public shareholders, we cannot assure you as to how such non -managing sponsor investors will vote on any business combination.

On March 11, 2020, the World Health Organization characterized the COVID -19 outbreak as a "pandemic." The COVID -19 pandemic resulted, and other infectious diseases could result, in a widespread health crisis that has and will continue to adversely affect economies and financial markets worldwide, and the business of any potential target business with which we consummate a business combination may also be materially and adversely affected. Furthermore, we may be unable to complete a business combination if a global health emergency, such as the COVID -19 pandemic, causes restrictions on travel, limits the ability to have meetings with potential investors or the target company's personnel, vendors and services providers are unavailable to negotiate and consummate a transaction in a timely manner. The effects of COVID -19 or other similar global health emergencies on businesses, and the inability to accurately predict the future impact of such events on businesses, may make determinations and negotiations of valuation more difficult, which could make it more difficult to consummate a business combination transaction. If the disruptions posed by a global health emergency, including the COVID -19 , pandemic, continue for an extended period of time, our ability to consummate a business combination, or the operations of a target business with which we ultimately consummate a business combination, may be materially adversely affected.
