From the filing

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 28, 2026, Bridger Aerospace Group Holdings, Inc. (the "Company") received a deficiency letter (the "Letter") from the Nasdaq Listing Qualifications Department (the "Staff") of the Nasdaq Stock Market LLC ("Nasdaq") notifying the Company that, based upon the closing bid price of the Company's common stock, $0.0001 par value per share (the "Common Stock"), for the 30 consecutive business day period ended October 27, 2026, the Company no longer satisfies the requirement to maintain a minimum bid price of $1.00 per share required for continued listing on The Nasdaq Global Market1 pursuant to Nasdaq Listing Rule 5450(a)(1) (the "Minimum Bid Price Requirement"). The Letter has no immediate effect on the listing of the Common Stock, which continues to trade on The Nasdaq Global Market under the symbol "BAER" at this time2.

In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has until April 26, 2027 to regain compliance with the Minimum Bid Price Requirement3 (the "Compliance Period"). To regain compliance, the closing bid price for the Common Stock must be at least $1.00 per share for a minimum of ten consecutive business days during the Compliance Period4, unless the Staff exercises its discretion to extend this ten business day period pursuant to Nasdaq Listing Rule 5810(c)(3)(H).

If the Company does not regain compliance with the Minimum Bid Price Requirement within the Compliance Period (including any extensions that may be granted by Nasdaq), the Staff will provide written notice to the Company that the Common Stock will be subject to delisting5. At that time, the Company may appeal the Staff's delisting determination to a Nasdaq Hearings Panel (a "Panel").6 6However, there can be no assurance that, if the Company receives a delisting notice and appeals the delisting determination by the Staff to a Panel, such appeal would be successful6.
