are currently not in compliance with Nasdaq's minimum stockholders' equity requirement and, although Nasdaq has granted us an extension through December 13, 2026 to regain compliance, there can be no assurance that we will do so. June 16, 2026, we received a notice from Nasdaq indicating that we were not in compliance with Nasdaq Listing Rule 5550(b)(1), which requires listed companies on The Nasdaq Capital Market to maintain a minimum of $2.5 million in stockholders' equity. As reported in our Annual Report on Form 20-F for the fiscal year ended December 31, 2025, we had stockholders' equity of $(11,990,437), and Nasdaq also determined that we did not satisfy the alternative continued listing standards relating to market value of listed securities or net income from continuing operations. On July 31, 2026, we submitted a plan to regain compliance, which was supplemented on August 12, 2026, and on August 13, 2026 Nasdaq granted us an extension through December 13, 2026 to evidence compliance. We are undertaking measures to regain compliance within the extension period; however, there can be no assurance that we will regain compliance with Rule 5550(b)(1) or maintain compliance with other applicable Nasdaq listing requirements. If we fail to regain or maintain compliance, our common shares could be delisted from Nasdaq, which could adversely affect liquidity, market price, investor confidence, and our ability to raise capital. Now

Shares are convertible at the lower of a fixed Conversion Price and a Market Price equal to 85% of recent trading prices of our Common Shares, subject to a Floor Price, assumed to be $0.208, and the Conversion Price is subject to full-ratchet reduction upon certain dilutive issuances and to reset following share combination events. Because the number of Common Shares issuable upon conversion increases as the market price of our Common Shares declines toward the Floor Price, the number of Common Shares issuable upon conversion of the Series A Preferred Shares could be substantially greater than the 11,312,217 Common Shares registered hereby for issuance upon conversion, which is based on an assumed conversion price of $0.884. At the assumed Floor Price, up to 48,076,923 Common Shares could be issued upon conversion of the aggregate Stated Value of the Series A Preferred Shares, which would represent approximately 2,013% of our 2,388,212 Common Shares outstanding as of November 2, 2026. If conversions require more Common Shares than are registered hereby, we may be required to file one or more additional registration statements, and any failure to maintain an effective registration statement for the Conversion Shares could result in an Event of Default. Holders who convert and resell Common Shares may place downward pressure on the price of our Common Shares, which in turn may lower the Market Price and increase the number of Common Shares issuable upon further conversions. In addition, holders of Series A Preferred Shares vote together with holders of our Common Shares on an as-converted basis, which may dilute the voting power of our existing shareholders. The Series A Preferred Shares are entitled to mandatory monthly dividends at an annual rate of 10% of their…

The Series A Preferred Shares are entitled to mandatory monthly dividends at an annual rate of 10% of their Stated Value, payable in cash or Common Shares. If we elect to redeem the Series A Preferred Shares, we must pay 120% of the greater of the Conversion Amount and the as-converted value of the shares based on the highest closing sale price of our Common Shares during the redemption period. So long as the Series A Preferred Shares are outstanding, we are restricted from incurring indebtedness other than Permitted Indebtedness and liens other than Permitted Liens, and we may not issue senior or parity shares of another class without the consent of the Required Holders. The Share Terms also contain broad Events of Default, including breaches that would result in a Material Adverse Effect, a Floor Price Event and our entry into an agreement to effect a Change of Control or Fundamental Transaction (each as defined in the Share Terms), some of which may be outside our control. The Series A Preferred Shares also rank senior to our Common Shares with respect to dividends and liquidation. Our ability to pay dividends and redemption amounts is also subject to the solvency tests under the OBCA, and if we are unable to pay a dividend when due, an Event of Default will occur. Terms of the Series A Preferred Shares
The following is a summary of the material
terms of the Series A Preferred Shares, which is qualified in its entirety by the rights, privileges, restrictions and conditions attaching to the Series A Preferred Shares set forth in the articles of amendment designating the Series A Preferred Shares (the " Share Terms "). See " Description of Share Capital and Articles of Incorporation – Series A Convertible Voting Preferred Shares to be Issued in this Offering ."
Dividends. Mandatory monthly dividends
at an annual rate of 10% of the Stated Value (one-twelfth of such amount per full calendar month), payable monthly in arrears on the first calendar day of each month in cash or in Common Shares, beginning January 1, 2027. Declaration and payment of each dividend is subject to Board action and to the Business Corporations Act (Ontario) (the " OBCA "), including its solvency tests. Holders also participate on an as-converted basis in distributions to holders of Common Shares.
Conversion. Convertible at any
time at the holder's option into a number of Common Shares equal to the Stated Value divided by the lower of (i) the Conversion Price (as defined herein) of $[●] (85% of the Nasdaq official closing price on the trading day before the articles of amendment designating the Series A Preferred Shares are filed), and (ii) the Market Price (the lower of 85% of the five-day VWAP preceding the notice of conversion and 85% of the closing sale price on the trading day before the notice), provided that such lower price may not be less than the Floor Price, assumed to be $[●] (20% of the closing price of our Common Shares on the trading day before the articles of amendment designating the Series A Preferred Shares are filed). At an assumed conversion price of $0.884, the aggregate Stated Value of the Series A Preferred Shares would convert into 11,312,217 Common Shares; at the assumed Floor Price of $0.208 (equal to 20% of the closing price of our Common Shares on the trading day before the articles of amendment designating the Series A Preferred Shares are filed), it would convert into up to 48,076,923 Common Shares. The Conversion Price is subject to adjustment for share splits, combinations and similar events, full-ratchet reduction upon dilutive issuances (subject to exceptions) and reset following share combination events.
Beneficial Ownership Limitation. A
holder may not convert to the extent it (with its affiliates and attribution parties) would beneficially own more than 4.99% (or, at its election prior to issuance, 9.99%) of our outstanding Common Shares immediately after giving effect to such conversion; increases take effect 61 days after notice and may not exceed 9.99%.
Voting. Holders vote with the holders
of Common Shares on an as-converted basis as of the applicable record date, subject to the Beneficial Ownership Limitation, and retain any separate class or series vote under the OBCA. The consent of holders of a majority of the outstanding Series A Preferred Shares (the " Required Holders ") is required to adversely change the rights of the Series A Preferred Shares or to amend our Articles in a manner adverse to the holders, in addition to any approval required under the OBCA.
Liquidation and Ranking. Upon liquidation,
after payment of our debts and liabilities, holders are entitled to the greater of (a) the aggregate Stated Value, payable in preference to holders of Common Shares, and (b) the amount payable on an as-converted basis. The Series A Preferred Shares rank senior to our Common Shares and to any other class of shares created after the original issue date with respect to dividends, distributions and liquidation, and rank on a parity with any other series of our Preferred Shares as required by the OBCA. We may not issue senior or parity shares of another class without the consent of the Required Holders.

Since then, we have discontinued our European operations and recently determined to no longer seek to launch our planned hemp and THC/CBD farming facility in British Columbia, Canada, while seeking to grow our First Towers and Fiber Corp. operations. We remain an early stage company and have limited financial resources and minimal operating cash flow. If we cannot successfully grow First Towers, or have capacity constraints, quality control problems or other disruptions, we may not be able to develop or offer market-ready commercial products or services at acceptable costs, which would adversely affect our ability to effectively enter the market or expand our market share. We are undertaking measures to regain compliance within the extension period, which includes this offering; however, there can be no assurance that we will regain compliance with Rule 5550(b)(1) or maintain compliance with other applicable Nasdaq listing requirements. If we fail to regain or maintain compliance, our common shares could be delisted from Nasdaq, which could adversely affect liquidity, market price, investor confidence, and our ability to raise capital.

financial markets in the United States have experienced substantial uncertainty during recent years, particularly following the COVID-19 outbreak and potential onset of reciprocal U.S. tariffs. This uncertainty has included, among other things, extreme volatility in securities prices, reduced liquidity and credit availability, rating downgrades of certain investments and declining values with respect to others. If capital and credit markets continue to experience uncertainty and available funds remain limited, Akanda post-Transaction may not be able to obtain debt or equity financing or to refinance its existing indebtedness on favorable terms or at all, which could affect its strategic operations, financial performance and force modifications to its operations. These conditions currently have not precluded Akanda post-Transaction from accessing credit markets or financing its operations, but there can be no assurance that financial markets and confidence in major economies will not deteriorate. In addition, Akanda post-Transaction may be vulnerable to changes in market preferences or other market changes, such as general economic conditions, recession and fears of recession, interest rates, tax rates, policies, and inflation. The U.S. is currently experiencing unusually high rates of inflation, and Akanda post-Transaction may experience a compression in its margins as a result. Board of Directors determined that the Company would no longer pursue the cultivation of cannabis or any future cannabis-related businesses, including the planned development of THC and CBD facilities at the BC Property. As a result, we declined to pay the next option payment due under the BC Option Agreement, and our right to acquire or use the BC Property under the BC Option Agreement has been terminated. The Company had not cultivated any product from the BC Property prior to this termination.

Any prior disclosures, forward-looking statements, projections, or expectations relating to our cannabis cultivation, manufacturing, or distribution operations, including any statements regarding anticipated revenues, market opportunities, regulatory approvals, licensing, product development, or expansion in the cannabis industry, are no longer relevant to the Company's future performance and should not be relied upon. The Company's business scope is now substantially narrower than previously disclosed, and our future results of operations will not reflect the contributions we previously anticipated from our cannabis segment.
Furthermore, The discontinuation of our cannabis
our cannabis business may result in residual costs, liabilities, and other adverse consequences. We may incur wind-down costs related to the termination of the BC Option Agreement, including any remaining contractual obligations or payments that may be due, which may be substantial. We may also face stranded costs related to prior investments in the cannabis segment, including the option payments and milestone payments we previously made under the BC Option Agreement totaling approximately $3.6 $2.6 million. In addition, we may incur administrative costs associated with exiting the cannabis business. We will also lose the benefit of the hemp license we obtained from Health Canada in September 2024, which required the payment of a $750,000 milestone payment.
Furthermore, the discontinuation
of our cannabis segment may negatively affect the Company's reputation and relationships with investors, partners, and other stakeholders who invested in or engaged with the Company based on our previously disclosed cannabis business strategy. Our decision to exit the cannabis industry represents a significant strategic shift. The Company's future success is now substantially dependent on its First Towers subsidiary and any other business targets it may pursue, and there can be no assurance that these businesses will be successful or will compensate for the loss of our cannabis segment. As a result, our overall business risk profile has changed materially, and investors should evaluate the Company solely on the basis of our continuing operations, principally our telecommunications infrastructure business through First acquisitions and strategic investments could be difficult to integrate, divert the attention of key management personnel, disrupt our business, dilute shareholder value, and harm our results of operations and financial condition. subsidiaries) are a PFIC for any taxable year during which a U.S. Holder owns Series A Preferred Shares or Common Shares, certain adverse U.S. federal income tax considerations could apply to such U.S. Holder, such as taxation at the highest marginal ordinary income tax rates on capital gains and on certain actual or deemed distributions, interest charges on certain taxes treated as deferred, and additional reporting requirements. The determination of whether a corporation is a PFIC for a taxable year depends, in part, on the application of complex U.S. federal income tax rules that are subject to differing interpretations. In addition, the determination of whether a corporation will be a PFIC for any taxable year generally can only be made after the close of such taxable year. Therefore, it is possible that we could be classified as a PFIC for our initial taxable year or in future years due to changes in the nature of our business, composition of our assets or income, as well as changes in our market capitalization. In particular, our PFIC status will depend, in part, on the amount of cash that we raise in this offering and how quickly we utilize the cash in our business. Based upon the foregoing, it is uncertain whether we will be a PFIC for our current taxable year or any future taxable year. We have not determined, if we (or any of our non-U.S. subsidiaries) were to be classified as a PFIC for a taxable year, whether we will provide information necessary for a U.S. Holder to make a "qualified electing fund" election which, if available, would result in tax treatment different from (and generally less adverse than) the general tax treatment for PFICs. Accordingly, U.S. Holders should assume that they will not be able to make a qualified electing fund election with respect to our Series A Preferred Shares or Common Shares. The PFIC rules are complex, and each U.S. Holder should consult his, her or its own tax advisor regarding the PFIC rules, the elections which may be available, and how the PFIC rules may affect the U.S. federal income tax considerations relating to the acquisition, ownership, conversion and disposition of our the Series A Preferred Shares and of the Common Shares received upon conversion of, or as dividends on, the Series A Preferred Shares.

In addition, adjustments to the Conversion Price, including full-ratchet adjustments and resets following share combinations, and the conversion of accrued and unpaid dividends, may result in deemed distributions taxable to U.S. Holders even though they receive no cash. Canadian withholding tax may apply to such dividends and, where applicable, may be satisfied from other cash or by the sale of Common Shares otherwise deliverable to the holder. pre-funded warrants are speculative in nature.
pre-funded warrants do not confer any rights of common share ownership on their holders, such as voting rights or the right to receive dividends, but rather merely represent the right to acquire Common Shares at a fixed price. Specifically, holders of the pre-funded warrants may exercise their right to acquire Common Shares and pay an exercise price of $0.0001 per share, subject to certain adjustments, commencing immediately upon issuance. There can be no assurance that the market price of the Common Shares will ever equal or exceed the exercise price of the pre-funded warrants, and consequently, it may not ever be profitable for holders of the pre-funded warrants to exercise the pre-funded warrants.

The Series A Preferred
Our obligations under the Series A Preferred
Shares, including mandatory dividends, redemption premiums and restrictive covenants, could adversely affect our liquidity, financial condition and ability to raise additional capital.
To the extent that revenue
To the extent that revenue generated by First Towers, and funds previously generated from any private placements, public offerings and/or bank financing are insufficient, we will have to raise additional working capital. No assurance can be given that our revenues will increase or that additional financing will be available, or if available, will be on acceptable terms. These conditions raise substantial doubt about our ability to continue as a going concern. If adequate working capital is not available, we may be forced to discontinue operations, which would cause investors to lose their entire investment.

following is a summary of the material terms and provisions of the pre-funded warrants that are being offered hereby. This summary is subject to and qualified in its entirety by the form of pre-funded warrants filed as an exhibit to this registration statement or as an exhibit to a Current Report on Form 6-K in connection with this offering.
pre-funded warrant offered hereby will have an initial exercise price per share equal to $0.0001. The pre-funded warrants will be immediately exercisable and may be exercised at any time until the pre-funded warrants are exercised in full. The exercise price and number of Common Shares issuable upon exercise is subject to appropriate adjustment in the event of stock dividends, stock splits, reorganizations or similar events affecting our Common Shares and the exercise price.
pre-funded warrants will be exercisable, at the option of each holder, in whole or in part, by delivering to us a duly executed exercise notice accompanied by payment in full for the number of Common Shares purchased upon such exercise (except in the case of a cashless exercise as discussed below). A holder (together with its affiliates) may not exercise any portion of the pre-funded warrants to the extent that the holder would own more than 4.99% of the outstanding Common Shares immediately after exercise, except that upon at least 61 days' prior notice from the holder to us, the holder may increase the amount of ownership of outstanding shares after exercising the holder's pre-funded warrants up to 9.99% of the number of Common Shares outstanding immediately after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the pre-funded warrants. Purchasers of pre-funded warrants in this offering may also elect prior to the issuance of the pre-funded warrants to those purchasers to have the initial exercise limitation set at 9.99% of our outstanding Common Shares.
to applicable laws, the pre-funded warrants are separately tradeable immediately after issuance at the option of the holders and may be transferred at the option of the holders upon surrender of the pre-funded warrants to us together with the appropriate instruments of transfer.
is no established public trading market for the pre-funded warrants and we do not expect a market to develop. In addition, we do not intend to apply for listing of the pre-funded warrants on any securities exchange or trading system. Without an active market, the liquidity of the pre-funded warrants will be limited.
the event we effect certain mergers, consolidations, sales of substantially all of our assets, tender or exchange offers, reclassifications or share exchanges in which our common share is effectively converted into or exchanged for other securities, cash or property, we consummate a business combination in which another person acquires 50% of the outstanding Common Shares, or any person or group becomes the beneficial owner of 50% of the aggregate ordinary voting power represented by our issued and outstanding Common Shares, then, upon any subsequent exercise of the pre-funded warrants, the holders of the pre-funded warrants will have the right to receive any shares of the acquiring corporation or other consideration it would have been entitled to receive if it had been a holder of the number of Common Shares then issuable upon exercise of the pre-funded warrants.
at the time of exercise there is no effective registration statement registering, or the prospectus contained therein is not available for issuance of, the shares issuable upon exercise of the pre-funded warrants, the holder may only exercise the pre-funded warrants on a cashless basis. When exercised on a cashless basis, a portion of the pre-funded warrants is cancelled in payment of the purchase price payable in respect of the number of Common Shares purchasable upon such exercise.
as otherwise provided in the pre-funded warrants or by virtue of a holder's ownership of Common Shares, the holders of the pre-funded warrants do not have the rights or privileges of holders of our Common Shares, including any voting rights, until they exercise their pre-funded warrants.
provisions of each pre-funded warrant may be modified or amended or the provisions thereof waived with the written consent of us and the holder.
fractional shares or scrip representing fractional shares shall be issued upon the exercise of the pre-funded warrants. As to any fraction of a share which the holder would otherwise be entitled to purchase upon such exercise, we shall or shall cause, at our option, the payment of a cash adjustment in respect of such final fraction in an amount equal to such fraction multiplied by the exercise price of the pre-funded warrants per whole share or round such fractional share up to the nearest whole share.
Series A Convertible Voting Preferred Shares
Warrants to be Issued in this Offering
The following is a summary
of the material terms and provisions of the Series A Convertible Voting Preferred Shares (the " Series A Preferred Shares ") being offered hereby. This summary is subject to and qualified in its entirety by the rights, privileges, restrictions and conditions attaching to the Series A Preferred Shares (the " Share Terms "), which will be set forth in articles of amendment to our Articles filed under the Business Corporations Act (Ontario) (the " OBCA "), the form of which is filed as an exhibit to the registration statement of which this prospectus forms a part. Capitalized terms used but not defined in this summary have the meanings given to them in the Share Terms. The Share Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Our Board of Directors
has designated 10,000 of our authorized Preferred Shares as Series A Convertible Voting Preferred Shares, which number may not be increased without the written consent of all holders of the Series A Preferred Shares, in addition to any approval or filing required under the OBCA. Each Series A Preferred Share has no par value and a stated value of $1,000 (the " Stated Value "). We are offering 10,000 Series A Preferred Shares in this offering, having an aggregate Stated Value of $10,000,000.
Each Series A Preferred
Share is entitled to a mandatory monthly dividend at an annual rate equal to 10% of its Stated Value, with the dividend for each full calendar month equal to one-twelfth of that amount, payable monthly in arrears on the first calendar day of each calendar month in either cash or Common Shares, with the first such payment date being January 1, 2027. The declaration and payment of each such dividend, whether in cash or Common Shares, is subject to the OBCA, including section 38 thereof, and to requisite action of our Board of Directors, which is required to take such action except to the extent the declaration or payment is prohibited by the OBCA. Common Shares issued in payment of dividends are not being registered under the registration statement of which this prospectus forms a part. Accrued and unpaid dividends are included in the Conversion Amount of the Series A Preferred Shares. In addition, subject to the prior rights of holders of any class of shares having prior rights as to dividends, holders are entitled to receive such dividends as may be declared from time to time by our Board of Directors out of assets legally available therefor. Holders are also entitled to participate, on an as-converted basis (without regard to conversion limitations, but subject to the Beneficial Ownership Limitation), in any dividend or other distribution of our assets to holders of Common Shares.
Except as otherwise required
by applicable law or the Share Terms, holders of Series A Preferred Shares are entitled to vote together with the holders of Common Shares on all matters submitted to a vote of our shareholders, with each Series A Preferred Share entitled to a number of votes equal to the number of Common Shares into which it would be convertible as of the applicable record date (calculated as if converted on such record date, using the Market Price as of such record date), subject to the Beneficial Ownership Limitation described below. These limitations do not restrict any right of the holders to vote separately as a class or series under the OBCA, including section 170 thereof. In addition, so long as any Series A Preferred Shares are outstanding, we may not, without the affirmative vote or written consent of the holders of a majority of the then-outstanding Series A Preferred Shares (the " Required Holders "), (a) alter or change adversely the powers, preferences or rights of the Series A Preferred Shares or alter or amend the Share Terms, (b) amend our Articles or other charter documents in any manner that adversely affects any rights of the holders, or (c) enter into any agreement with respect to any of the foregoing. Any such consent of the Required Holders is a contractual protective consent in addition to, and not in lieu of, any approval of our Board of Directors, special resolution, separate class or series vote, articles of amendment or other approval required under the OBCA or our Articles.
Liquidation Preference
Upon any liquidation,
dissolution or winding-up of the Company, whether voluntary or involuntary, holders of Series A Preferred Shares are entitled to receive, out of our assets available for distribution to shareholders after payment or provision for our debts and other liabilities and subject to the prior rights of any senior-ranking shares, the greater (but not both) of (a) the aggregate Stated Value of their Series A Preferred Shares, payable in preference and priority to any distribution to holders of Common Shares, and (b) the amount they would receive if their Series A Preferred Shares were fully converted (disregarding any conversion limitations) into Common Shares, calculated on the basis of participation pari passu with holders of Common Shares. If such assets are insufficient to pay these amounts in full and the full preferential amounts payable to holders of any Parity Shares, such assets will be distributed ratably among such holders in proportion to the full amounts otherwise payable to them. We are required to give holders at least 45 days' prior written notice of any such liquidation.
Each Series A Preferred
Share is convertible, at any time and from time to time on or after the original issue date, at the option of the holder, into a number of Common Shares (the " Conversion Shares ") determined by dividing the Stated Value of such Series A Preferred Share by the lower of (i) the Conversion Price and (ii) the Market Price, provided that in no event will such lower price be less than the Floor Price, which is assumed to be $0.208 (20% of the closing price of our Common Shares on November 2, 2026). The " Conversion Price " is $[●], which will equal 85% of the Nasdaq official closing price of our Common Shares on the Trading Day immediately prior to the filing of the articles of amendment designating the Series A Preferred Shares, rounded up to the nearest $0.01, subject to adjustment as described below. The " Market Price " as of any conversion date is the lower of (i) 85% of the VWAP of our Common Shares during the five consecutive Trading Day period ending on and including the Trading Day immediately preceding delivery of the notice of conversion and (ii) 85% of the Closing Sale Price of our Common Shares on the Trading Day prior to submission of the notice of conversion. We are registering 11,312,217 Conversion Shares, which is the number of Common Shares issuable upon conversion of the aggregate Stated Value of all 10,000 Series A Preferred Shares offered hereby at an assumed conversion price of $0.884 (85% of the closing price of our Common Shares on November 2, 2026), excluding any Conversion Shares issuable in respect of accrued and unpaid dividends. If the Series A Preferred Shares are converted at a lower price, the number of Conversion Shares issuable could be as high as 48,076,923 at the assumed Floor Price, and we may be required to register additional Common Shares.
We will not effect any
conversion of the Series A Preferred Shares, and a holder will not have the right to convert any portion of its Series A Preferred Shares, to the extent that, after giving effect to such conversion, the holder (together with its affiliates and any persons acting as a group with the holder or any of its affiliates) would beneficially own in excess of 4.99% (or, upon election by the holder prior to the issuance of any Series A Preferred Shares, 9.99%) of the number of Common Shares outstanding immediately after giving effect to the conversion (the " Beneficial Ownership Limitation "). A holder may increase or decrease the Beneficial Ownership Limitation upon notice to us, provided that the Beneficial Ownership Limitation may not exceed 9.99%, and any increase will not be effective until the 61st day after such notice is delivered to us. The Beneficial Ownership Limitation also limits the number of votes that may be cast in respect of the Series A Preferred Shares.
Adjustments to Conversion Price
The Conversion Price is
subject to proportional adjustment for share dividends, share splits, share combinations (including reverse share splits) and reclassifications of our Common Shares. In addition, subject to exceptions for Excluded Securities, if we issue or sell, or are deemed to issue or sell (including through the issuance of options or convertible securities), Common Shares at a price per share less than the Conversion Price then in effect, the Conversion Price will be reduced to such lower price. If we effect any share split, share dividend, share combination, recapitalization or similar transaction involving our Common Shares and the Event Market Price (the average of the five lowest VWAPs of our Common Shares during the 15 consecutive Trading Day period ending on the Trading Day immediately preceding the 16th Trading Day after such event) is less than the Conversion Price then in effect, the Conversion Price will be reduced to the Event Market Price on such 16th Trading Day. Subject to Nasdaq rules, we may also, with the prior written consent of the Required Holders, voluntarily reduce the Conversion Price for any period. No adjustment will increase the Conversion Price.
At any time, we have the right to redeem all, but not less than all, of the outstanding Series A Preferred Shares in cash at a price equal to 120% of the greater of (i) the sum of the Stated Value plus all accrued and unpaid dividends and other amounts owing to such holder (the " Conversion Amount ") being redeemed and (ii) the product of (1) the Conversion Rate with respect to such Conversion Amount (determined using the Market Price as of the redemption date) multiplied by (2) the greatest closing sale price of our Common Shares on any Trading Day during the period beginning on the date immediately preceding the redemption notice date and ending on the Trading Day immediately prior to the date we make the entire redemption payment. We must deliver an irrevocable redemption notice (which may be conditioned upon the consummation of a refinancing or going-private transaction) to all holders, and the redemption date may not be less than 20 Trading Days after the notice date. Holders may convert their Series A Preferred Shares until the redemption price is paid in full. Any redemption payment is subject to section 32 of the OBCA, and we will not be required to make any redemption payment prohibited by that section. Opinion on the Financial Statements We have audited the accompanying consolidated statements of financial position of Akanda Corp. (the "Company"), as of December 31, 2025 and 2024, the related consolidated statements of comprehensive loss, changes in shareholders' equity (deficit) and cash flows for the years then ended, and the related notes (collectively referred to as the "financial statements"). In our opinion, the consolidated financial statements present fairly, in all material respects, the financial position of the Company as of December 31, 2025 and 2024, and the results of its operations and its cash flows for the years then ended, in conformity with the International Financial Reporting Standards as issued by the International Accounting Standards Board.
Consideration of the Company's Ability
to Continue as a Going Concern
The accompanying consolidated financial statements
have been prepared assuming that the Company will continue as a going concern. As discussed in Note 1 to the consolidated financial statements, the Company's significant operating losses and cash outflows raise substantial doubt about its ability to continue as a going concern.
The consolidated financial statements do not include any adjustments that might result from the outcome of this uncertainty.
These consolidated financial statements are the
responsibility of the Company's management. Our responsibility is to express an opinion on the Company's consolidated financial statements based on our audits. We are a public accounting firm registered with the Public Company Accounting Oversight Board (United States) ("PCAOB") and are required to be independent with respect to the Company in accordance with the U.S. federal securities laws and the applicable rules and regulations of the Securities and Exchange Commission and the PCAOB.
We conducted our audit in accordance with the
standards of the PCAOB. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the consolidated financial statements are free of material misstatement, whether due to error or fraud. The Company is not required to have, nor were we engaged to perform, an audit of its internal control over financial reporting. As part of our audit, we are required to obtain an understanding of internal control over financial reporting but not for the purpose of expressing an opinion on the effectiveness of the Company's internal control over financial reporting. Accordingly, we express no such opinion.
Our audit included performing procedures to assess
the risks of material misstatement of the consolidated financial statements, whether due to error or fraud, and performing procedures that respond to those risks. Such procedures included examining, on a test basis, evidence regarding the amounts and disclosures in the consolidated financial statements. Our audit also included evaluating the accounting principles used and significant estimates made by management, as well as evaluating the overall presentation of the consolidated financial statements. We believe that our audit provides a reasonable basis for our opinion.
